Terms of Business

## 1. General Provisions


These General Terms of Business (the "Terms") govern the relationship between Deploy d.o.o., trading as Readria Real Estate (the "Agency" or "We"), with registered office at Velebitska 27, 21000 Split, Croatia, VAT: 83735032133, and any individual or legal entity (the "Client" or "You") engaging our real estate brokerage services.


By engaging our services or signing a Brokerage Agreement with us, you acknowledge that you have read, understood, and agree to be bound by these Terms.


## 2. Definitions


For the purposes of these Terms:


- "Brokerage Agreement" means a written contract between the Agency and the Client whereby the Agency undertakes to facilitate the sale, purchase, lease, or rental of real estate.

- "Property" means any real estate, including land, buildings, apartments, houses, or commercial premises, that is the subject of brokerage services.

- "Transaction" means any legal act involving the transfer, lease, or rental of Property.

- "Brokerage Fee" means the commission payable to the Agency for successfully facilitating a Transaction.

- "Third Party" means any person whom the Agency connects with the Client for the purpose of negotiating a Transaction.

- "Exclusive Agreement" means a Brokerage Agreement under which the Client agrees not to engage any other real estate agency for the same Property or Transaction.


## 3. Scope of Services


### 3.1 Agency Obligations


The Agency undertakes to:


- Identify and connect the Client with potential buyers, sellers, lessors, or lessees

- Provide market analysis and property valuations based on current market conditions

- Verify ownership documentation and legal status of the Property

- Market and advertise the Property through appropriate channels

- Arrange property viewings and facilitate negotiations between parties

- Assist in preparing preliminary agreements and contracts

- Maintain confidentiality regarding Client information and Property details as agreed

- Act with professional care and in accordance with Croatian law


### 3.2 Client Obligations


The Client undertakes to:


- Provide accurate and complete information about the Property

- Submit valid ownership documents and certificates

- Disclose all encumbrances, liens, or legal issues affecting the Property

- Allow the Agency and interested Third Parties to view the Property

- Inform the Agency promptly of any changes affecting the Property or Transaction

- Pay the agreed Brokerage Fee upon successful completion of the Transaction

- Reimburse agreed additional costs incurred by the Agency

- Act in good faith throughout the brokerage process


## 4. Property Information and Marketing


### 4.1 Accuracy of Information


All Property information provided by the Client must be accurate and truthful. The Client bears full responsibility for the accuracy of:


- Property descriptions and features

- Legal status and ownership rights

- Physical condition and any defects

- Permitted uses under spatial planning regulations

- Financial obligations (utilities, maintenance fees, taxes)


### 4.2 Marketing and Advertising


The Agency will market the Property through various channels including our website, partner platforms, social media, and direct marketing. All advertisements will identify Readria Real Estate as the brokerage agency.


The Client acknowledges that Property details may be shared with other licensed real estate agencies for cooperative brokerage purposes.


## 5. Brokerage Fee


### 5.1 Fee Structure


Unless otherwise agreed in writing, the standard brokerage fees are:


- Sale Transactions: 3% of the final sale price + VAT (or as otherwise arranged in the Brokerage Agreement)

- Rental/Lease Transactions: One month's rent + VAT (or as otherwise arranged in the Brokerage Agreement)

- Purchase Brokerage: As agreed in the Brokerage Agreement


Specific fees will be clearly stated in each individual Brokerage Agreement.


### 5.2 When Fee is Payable


The Brokerage Fee becomes due upon:


- Signing of the final purchase agreement, or

- Signing of a binding preliminary agreement, if specifically agreed, or

- First payment or transfer of possession, whichever occurs first


### 5.3 Payment Terms


The Brokerage Fee must be paid within 8 days of the event triggering payment. Late payments will incur statutory interest charges under Croatian law.


### 5.4 Fee Applies When


The Agency is entitled to the full Brokerage Fee if:


- The Transaction is completed with a Third Party introduced by the Agency

- The Transaction is completed within 12 months after termination of the Brokerage Agreement with a party introduced during the agreement period

- The Transaction is completed with any related party of the Client (spouse, partner, family member, business associate, or related company)

- The Client concludes a Transaction bypassing the Agency during an Exclusive Agreement period


## 6. Exclusive Brokerage Agreements


### 6.1 Exclusivity Terms


Under an Exclusive Agreement, the Client agrees not to:


- Engage any other real estate agency for the same Property

- Market the Property independently

- Negotiate directly with buyers/tenants without Agency involvement


### 6.2 Consequences of Breach


If the Client violates exclusivity by completing a Transaction through another agency or directly, the Client must pay:


- The full agreed Brokerage Fee, plus

- All documented costs incurred by the Agency during the exclusivity period


### 6.3 Duration


Exclusive Agreements are concluded for a fixed term, typically 3-6 months, and may be renewed by mutual written agreement.


## 7. Additional Costs


### 7.1 Costs Included in Brokerage Fee


The standard Brokerage Fee covers:


- Property valuation and market analysis

- Standard marketing and advertising

- Property viewings and negotiations

- Basic administrative services


### 7.2 Costs Borne by Client


The following costs are NOT included in the Brokerage Fee:


- Certified translations of documents

- Notary fees and signature certifications

- Land registry fees and title deed costs

- Cadastral plans and certificates

- Building permits and technical documentation

- Legal fees for contract preparation

- Professional photography or video production (if specifically requested)

- Tax consultant or lawyer fees


The Agency may arrange these services on behalf of the Client, who must reimburse actual costs within 8 days.


## 8. Termination


### 8.1 Fixed-Term Agreements


Agreements concluded for a fixed term expire automatically unless a Transaction is completed or the agreement is terminated earlier by mutual consent.


### 8.2 Termination Notice


If the Brokerage Agreement permits unilateral termination, either party may terminate with 30 days' written notice, unless otherwise specified.


### 8.3 Post-Termination Rights


If within 12 months after termination the Client completes a Transaction that resulted from the Agency's efforts during the agreement period, the full Brokerage Fee remains payable.


### 8.4 Bad Faith Termination


Termination with the intent to deprive the Agency of its earned fee or to cause damage is prohibited and may result in liability for damages.


## 9. Liability and Insurance


### 9.1 Professional Liability Insurance


The Agency maintains professional liability insurance with coverage of:


- Minimum €25,000 per incident

- Minimum €75,000 aggregate annual coverage


Insurance details are available upon request.


### 9.2 Agency Liability


The Agency is liable for damages caused by:


- Negligence in performing brokerage duties

- Breach of confidentiality obligations

- Failure to exercise professional care


The Agency is NOT liable for:


- Actions or omissions of the Client or Third Parties

- Inaccurate information provided by the Client

- Legal defects in the Property not discoverable through reasonable diligence

- Consequences of Transactions concluded between Client and Third Party


## 10. Confidentiality and Data Protection


### 10.1 Business Secrets


The Agency will maintain as confidential:


- Client personal information

- Property details designated as confidential

- Transaction terms and negotiations

- Any other information marked as confidential


### 10.2 Permitted Disclosures


Confidentiality does not prevent disclosure:


- To potential buyers/tenants as necessary for brokerage

- As required by Croatian law or court order

- To professional advisors (lawyers, accountants) under equivalent confidentiality

- With Client's written consent


### 10.3 Personal Data


Personal data is collected and processed in accordance with our Privacy Policy and Croatian/EU data protection regulations. By engaging our services, you consent to necessary data processing for brokerage purposes.


## 11. Property Viewings and Security


### 11.1 Viewing Arrangements


The Client agrees to make the Property available for viewings at reasonable times. The Agency will coordinate viewings and notify the Client in advance except in emergencies.


### 11.2 Security


The Agency will take reasonable precautions during viewings but is not responsible for theft or damage caused by Third Parties during viewings. Clients should secure valuables before viewings.


## 12. Cooperation with Other Brokers


The Agency cooperates with other licensed Croatian real estate agencies in accordance with professional standards. Such cooperation may involve sharing Property information and splitting brokerage fees.


The Client consents to such cooperation unless explicitly restricted in the Brokerage Agreement.


## 13. Complaints and Dispute Resolution


### 13.1 Complaints Procedure

We will acknowledge complaints within 3 business days and provide a substantive response within 14 days.


### 13.2 Dispute Resolution


Disputes will be resolved amicably through good-faith negotiations. If resolution cannot be achieved, disputes will be submitted to the competent court in Split, Croatia.


### 13.3 Governing Law


These Terms and all Brokerage Agreements are governed by Croatian law, including:


- Act on Real Estate Brokerage (OG 107/07, 144/12, 14/14, 32/19)

- Civil Obligations Act

- Consumer Protection Act (where applicable)


## 14. Client Rights and Responsibilities


### 14.1 Right to Information


Clients have the right to:


- Receive clear information about brokerage fees and costs

- Access copies of all documents related to the Transaction

- Receive regular updates on brokerage activities

- Understand all terms before signing agreements


### 14.2 No Obligation to Transact


Engaging the Agency does not obligate the Client to:


- Accept any offer presented

- Complete any Transaction

- Continue with negotiations the Client finds unsuitable


However, withdrawing in bad faith to avoid payment obligations may result in liability.


## 15. Anti-Money Laundering Compliance


In accordance with Croatian anti-money laundering legislation, the Agency is required to:


- Verify client identity using official documents

- Collect information about the source of funds

- Report suspicious transactions to relevant authorities

- Maintain records for the legally required period


Clients must cooperate with these requirements. The Agency may refuse service if adequate identification cannot be obtained.


## 16. Website and Online Services


### 16.1 Website Use


By accessing readria.hr, you agree to:


- Use the website for lawful purposes only

- Not attempt to breach security or access systems unlawfully

- Respect intellectual property rights in website content


### 16.2 Property Listings


Property listings on our website are based on information provided by property owners. While we strive for accuracy:


- Listings may contain errors or omissions

- Properties may already be sold or withdrawn

- Prices and availability are subject to change

- Listings do not constitute binding offers


### 16.3 Third-Party Content


Our website may link to third-party websites. We are not responsible for content, accuracy, or practices of external sites.


## 17. Force Majeure


Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including:


- Natural disasters

- War, terrorism, or civil unrest

- Government actions or legal restrictions

- Pandemics or health emergencies

- Severe infrastructure failures


The affected party must notify the other party promptly and make reasonable efforts to resume performance.


## 18. Amendments


These Terms may be updated periodically. Updated Terms will be:


- Posted on our website with the revision date

- Provided to active clients via email

- Effective 30 days after publication unless otherwise stated


Continued use of our services after changes take effect constitutes acceptance of updated Terms.


## 19. Severability


If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force. Invalid provisions will be replaced with valid provisions achieving the closest intent.


## 20. Entire Agreement


These Terms, together with any signed Brokerage Agreement, constitute the entire agreement between the Agency and Client. No oral representations modify these terms unless confirmed in writing.


## 21. Language


These Terms are provided in English and Croatian. In case of discrepancy, the Croatian version prevails as the authoritative text.
